Welcome to VEDEX. These Terms of Service (“Terms”) govern your access to and use of the website located at vedexprop.com, the platform, and services (collectively, the “Services”) provided by Vedex Inc., a company registered in the Republic of Seychelles under registration number No. 238217, with its registered office at Suite 1, Second Floor, Sound & Vision House, Francis Rachel Str., Victoria, Mahe, Seychelles (“VEDEX”, “Company”, “we”, “us”, or “our”).

By accessing our website or purchasing our Evaluation Challenges, you agree to be bound by these Terms. If you do not agree, you must not use our Services. These Terms should be read together with our Trading Rules & Evaluation Terms, which set out the detailed trading rules and restrictions.

1. Nature of Services (Not a Broker)

1.1 Simulated Trading Only:VEDEX provides educational and evaluation services for traders. The Stage 1 and Stage 2 Evaluation Challenges (“Challenges”) are conducted in a simulated environment using virtual funds.

1.2 No Financial Services: VEDEX is NOT a broker-dealer, investment adviser, or financial institution. We do not accept client deposits for investment purposes, we do not hold custody of client trading funds, and we do not execute real trades on behalf of clients at any stage.

1.3 No Investment Advice: Nothing on our platform should be construed as financial, investment, or trading advice.

1.4 Prop Accounts Only:Trading is available on proprietary (“prop”) evaluation and funded accounts only. The personal account is a non-trading balance account: payouts are credited to it and challenge fees are paid from it; trading on the personal account is disabled. Only prop accounts (Evaluation Challenges) may be purchased.

2. Eligibility & Restricted Jurisdictions

2.1 Age Requirement: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use our Services.

2.2 Restricted Jurisdictions & Geo-Blocking: Due to regulatory restrictions and compliance policies, VEDEX does not provide services to citizens or residents of the United States of America, Iran, Syria, North Korea, Myanmar, Cuba, the Crimea region, and the non-government-controlled areas of the Donetsk, Luhansk, Kherson and Zaporizhzhia regions, or any other jurisdictions subject to international FATF blacklists. Furthermore, we do not provide services to any individuals specifically listed on international sanctions lists (such as the OFAC SDN list and relevant UN and EU sanctions lists). Access from restricted jurisdictions is blocked at registration and at checkout (geo-blocking by IP address together with a mandatory country declaration). By registering, you confirm you are not a resident of these jurisdictions or a sanctioned individual.

2.3 False Jurisdiction Declaration: Circumventing geo-blocking (including through the use of a VPN or proxy) or providing a false declaration of your country of residence or citizenship constitutes a material breach of these Terms. In such cases VEDEX may reject your verification, terminate your account and annul any results and profits, and the challenge fee is not refunded. Where VEDEX determines, at its sole discretion, that the customer acted in good faith, it may refund the initial fee.

3. Account Creation & KYC

3.1 Accuracy of Information: You must provide accurate and complete information when creating an account.

3.2 Manual Verification (KYC/AML): To ensure compliance, we enforce a manual Know Your Customer (KYC) verification process. You may be required to provide a valid government-issued ID and proof of address immediately after purchasing a Challenge, or prior to receiving any profit split payouts as a Funded Trader. We reserve the right to deny payouts and close accounts if you fail the KYC verification process.

3.3 Single Account Policy: Users are prohibited from creating multiple accounts to bypass trading rules, limits, or risk parameters.

4. Purchases and Payments

4.1 Cryptocurrency Only: VEDEX operates strictly via cryptocurrency. All purchases of Evaluation Challenges and all subsequent payouts are processed exclusively in supported cryptocurrencies (specifically USDT). All challenge prices, account balances and payout amounts are denominated in USDT. We do not accept fiat currency payments.

4.2 Fees: The fee paid for an Evaluation Challenge is a fee for accessing the simulated trading platform and evaluation metrics. It is not a deposit for trading.

4.3 Refund Policy:All challenge fees are non-refundable. Access from restricted jurisdictions is blocked at registration and at checkout; if verification nevertheless reveals that you are a resident of a restricted jurisdiction or that you provided a false country declaration, this constitutes a breach of these Terms (see Section 2.3) and the fee is not refunded. VEDEX may, at its sole discretion, refund the initial fee where the customer acted in good faith and no trading rules were violated. Full details are set out in the Risk Disclosure & Refund Policy.

5. Evaluation Rules & Funded Status

5.1 Trading Rules: By participating in a Challenge, you agree to abide by the rules set out in our Trading Rules & Evaluation Terms document (including the Maximum Daily Loss, Maximum Total Loss, pass and payout conditions, and trading restrictions).

5.2 Consequences of Rule Issues:Consequences are graded as set out in the Trading Rules & Evaluation Terms:

• breaching a risk limit (Maximum Daily Loss or Maximum Total Loss) results in automatic termination of the account without refund;
• engaging in a Prohibited Practice (Section 6) may result in account closure and forfeiture of profits; suspected cases are reviewed before any action is taken;
• certain higher-risk behaviors do not terminate the account but move it to a higher risk tier with reduced leverage under the Red Flag system, with a defined path back to standard conditions;
• pass and payout conditions (such as minimum trading days and consistency) are not violations — if they are not met, the account remains active and you continue trading until they are.

5.3 Independent Contractor:If you successfully pass the evaluation and are offered a “Funded Account”, your relationship with VEDEX will be that of an Independent Contractor. You will not be an employee, partner, or agent of VEDEX. You will be trading the Company’s capital and receiving a percentage of the simulated profits — from 75% up to 90%, according to the payout ladder set out in the Trading Rules & Evaluation Terms — as remuneration for your trading data/signals.

6. Prohibited Trading Practices

Traders must not engage in trading strategies that exploit errors in the service or that are designed to game the evaluation, including:

• Latency arbitrage or high-frequency trading (HFT) designed to exploit feed delays or simulated execution.
• Exploiting unrealistic simulated fills (e.g., gap trading abuse).
• Account management services (allowing a third party to trade your account) or trading another person’s account.
• Copy trading across accounts of different users, or sharing trade signals. (Copying your own trades across your own VEDEX accounts is permitted but monitored under the Red Flag system.)
• Coordinated hedging across accounts — opening opposite positions in the same instrument across accounts to guarantee that one account passes.
• Creating multiple accounts to circumvent limits or rules (see Section 3.3).

Suspected Prohibited Practices are reviewed before action is taken. Confirmed violations may result in immediate account closure and forfeiture of any profits.

7. Limitation of Liability

To the maximum extent permitted by applicable law, VEDEX, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services.

8. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Seychelles.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the site. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
